Chyzora Nexus — logiciel de gestion commerciale et point de vente
IMPORTANT — VEUILLEZ LIRE ATTENTIVEMENT. En installant ou en utilisant Chyzora Nexus (« le Logiciel »), vous acceptez d'être lié par les termes du présent contrat. Si vous n'acceptez pas ces termes, n'installez pas et n'utilisez pas le Logiciel.
1.Objet
Le présent contrat couvre l'application Chyzora Nexus pour Windows, sa base de données, son service passerelle (Nexus Gateway), les applications mobiles associées (Nexus Dock) ainsi que leurs mises à jour, ensemble désignés « le Logiciel ».
2.Concession de licence
Chyzora Solutions vous concède une licence non exclusive, non transférable et révocable d'utilisation du Logiciel, sous réserve du paiement des droits applicables et du respect du présent contrat.
La licence peut être liée au matériel : une clé d'activation liée est valable pour un seul poste, identifié par son identifiant matériel unique. Le périmètre fonctionnel autorisé (modules) est défini par la clé délivrée par Chyzora Solutions ou son revendeur ; l'ajout de modules ou le transfert vers un autre poste nécessite une nouvelle clé.
3.Activation
L'installation et l'utilisation du Logiciel exigent une clé de licence valide délivrée par Chyzora Solutions ou par son revendeur. Aucune période d'essai n'est accordée. Une clé datée cesse d'être valable à sa date d'expiration.
4.Restrictions
Vous vous engagez à ne pas : (a) décompiler, désassembler ou pratiquer l'ingénierie inverse du Logiciel ; (b) copier, louer, prêter, revendre ou redistribuer le Logiciel ou les clés d'activation ; (c) contourner ou altérer les mécanismes de licence, d'activation ou de protection ; (d) utiliser le Logiciel en violation des lois applicables, notamment la réglementation fiscale et commerciale en vigueur.
5.Propriété intellectuelle
Le Logiciel, son code, son interface et sa documentation demeurent la propriété exclusive de Chyzora Solutions. Le présent contrat ne vous confère aucun droit de propriété sur le Logiciel. Les composants de tiers fournis avec le Logiciel (notamment le serveur de base de données PostgreSQL et l'outil DBeaver) restent soumis à leurs propres licences.
6.Données et confidentialité
Le Logiciel stocke vos données commerciales (articles, tiers, ventes, achats, stock, trésorerie) sur votre poste ou sur le serveur de votre réseau (base de données PostgreSQL). En mode serveur/client avec résilience hors ligne, chaque poste conserve un tampon local des ventes saisies pendant une coupure, synchronisé vers le serveur au rétablissement de la connexion. Vos données commerciales ne sont jamais transmises à Chyzora Solutions.
Mises à jour : le Logiciel interroge le serveur de mises à jour de Chyzora Solutions (hub.chyzora.com) pour savoir si une nouvelle version existe et la télécharger. Ce serveur ne reçoit aucune donnée commerciale ; seules les informations techniques de toute connexion Internet (adresse IP) lui sont visibles.
Téléphones, magasins et accès à distance : les applications mobiles se connectent directement au serveur de votre réseau, en connexion chiffrée. La synchronisation multi-magasins n'échange des données qu'entre vos propres sites. L'accès à distance, lorsque vous l'activez, passe par une liaison chiffrée de bout en bout ; les serveurs relais éventuellement utilisés ne peuvent pas en lire le contenu.
Vous êtes seul responsable de la sauvegarde, de la sécurité et de la conformité de vos données, ainsi que des comptes utilisateurs et des appareils auxquels vous donnez accès.
7.Applications mobiles
Les applications mobiles ne fonctionnent qu'avec un serveur Chyzora Nexus sous licence incluant les modules correspondants, et avec un compte utilisateur Nexus disposant des droits nécessaires. Vous pouvez à tout moment déconnecter un appareil depuis Connectivité ▸ Appareils mobiles. La sécurité physique des appareils (verrouillage, perte, vol) relève de votre responsabilité.
8.Mises à jour et support
Chyzora Solutions peut fournir des mises à jour et un support technique selon les conditions convenues lors de l'achat. Les mises à jour proposées par le Logiciel s'installent avec votre accord, après une sauvegarde automatique de la base, et peuvent être annulées pour revenir à la version précédente. Les mises à jour sont soumises au présent contrat, sauf stipulation contraire. Support : [email protected].
9.Absence de garantie
Le Logiciel est fourni « en l'état », sans garantie d'aucune sorte, expresse ou implicite, y compris notamment les garanties de qualité marchande ou d'adéquation à un usage particulier.
10.Limitation de responsabilité
Dans toute la mesure permise par la loi, Chyzora Solutions ne saurait être tenue responsable de tout dommage indirect, perte de données, perte d'exploitation ou perte de profit résultant de l'utilisation ou de l'impossibilité d'utiliser le Logiciel.
11.Résiliation
La licence prend fin automatiquement en cas de manquement à l'une des clauses du présent contrat. À la résiliation, vous devez cesser toute utilisation et désinstaller le Logiciel.
12.Droit applicable
Le présent contrat est régi par les lois de la République algérienne démocratique et populaire. Tout litige relatif à son interprétation ou à son exécution relève de la compétence des tribunaux d'Annaba, Algérie.

1.الموضوع
يشمل هذا العقد تطبيق Chyzora Nexus لنظام Windows، وقاعدة بياناته، وخدمة البوابة (Nexus Gateway)، وتطبيقات الهاتف المرتبطة به (Nexus Dock)، وكذا تحديثاتها، ويُشار إليها مجتمعةً بـ«البرنامج».
2.منح الترخيص
تمنحك Chyzora Solutions ترخيصًا غير حصري وغير قابل للتحويل وقابلًا للإلغاء لاستعمال البرنامج، شريطة دفع الحقوق المستحقة واحترام هذا العقد.
يمكن أن يكون الترخيص مرتبطًا بالجهاز: مفتاح التفعيل المرتبط صالح لجهاز واحد فقط، يُعرَّف بمعرّفه المادي الفريد. ويحدّد المفتاحُ الصادر عن Chyzora Solutions أو عن مُعيد البيع الوظائفَ المسموح بها (الوحدات)؛ وتتطلب إضافة وحدات أو النقل إلى جهاز آخر مفتاحًا جديدًا.
3.التفعيل
يتطلب تثبيت البرنامج واستعماله مفتاح ترخيص صالحًا صادرًا عن Chyzora Solutions أو عن مُعيد البيع. لا تُمنح أي فترة تجريبية. ويفقد المفتاح المؤرَّخ صلاحيته عند تاريخ انتهائه.
4.القيود
تلتزم بعدم: (أ) فكّ ترجمة البرنامج أو تفكيكه أو إجراء هندسة عكسية عليه؛ (ب) نسخ البرنامج أو مفاتيح التفعيل أو تأجيرها أو إعارتها أو إعادة بيعها أو توزيعها؛ (ج) التحايل على آليات الترخيص أو التفعيل أو الحماية أو تعديلها؛ (د) استعمال البرنامج بما يخالف القوانين المعمول بها، لا سيما التنظيمات الجبائية والتجارية السارية.
5.الملكية الفكرية
يبقى البرنامج وشفرته وواجهته ووثائقه ملكًا حصريًا لـ Chyzora Solutions. ولا يمنحك هذا العقد أي حق ملكية على البرنامج. وتبقى مكوّنات الأطراف الأخرى المرفقة بالبرنامج (لا سيما خادم قواعد البيانات PostgreSQL وأداة DBeaver) خاضعة لتراخيصها الخاصة.
6.البيانات والسرّية
يحفظ البرنامج بياناتك التجارية (السلع، الزبائن والمورّدون، المبيعات، المشتريات، المخزون، الخزينة) على جهازك أو على خادم شبكتك (قاعدة بيانات PostgreSQL). وفي وضع الخادم/العميل مع العمل دون اتصال، يحتفظ كل جهاز بنسخة محلية مؤقتة من المبيعات المسجّلة أثناء الانقطاع، تُزامَن مع الخادم عند عودة الاتصال. ولا تُرسَل بياناتك التجارية أبدًا إلى Chyzora Solutions.
التحديثات: يتصل البرنامج بخادم التحديثات التابع لـ Chyzora Solutions (hub.chyzora.com) لمعرفة ما إذا كان هناك إصدار جديد وتنزيله. لا يتلقى هذا الخادم أي بيانات تجارية؛ ولا يرى سوى المعلومات التقنية لأي اتصال بالإنترنت (عنوان IP).
الهواتف والمحلات والوصول عن بُعد: تتصل تطبيقات الهاتف مباشرةً بخادم شبكتك عبر اتصال مشفّر. ولا تتبادل مزامنة المحلات المتعددة البيانات إلا بين مواقعك أنت. أما الوصول عن بُعد، عند تفعيله، فيمرّ عبر رابط مشفّر من طرف إلى طرف؛ ولا يمكن لخوادم الترحيل المستعملة عند الاقتضاء قراءة محتواه.
أنت وحدك المسؤول عن حفظ بياناتك نسخًا احتياطيًا وعن أمنها ومطابقتها للقوانين، وكذلك عن حسابات المستخدمين والأجهزة التي تمنحها حق الوصول.
7.تطبيقات الهاتف
لا تعمل تطبيقات الهاتف إلا مع خادم Chyzora Nexus مرخَّص يتضمن الوحدات المعنية، ومع حساب مستخدم في Nexus يملك الصلاحيات اللازمة. ويمكنك في أي وقت فصل جهاز من «الاتصال ◂ الأجهزة المحمولة». وتقع على عاتقك مسؤولية الأمن المادي للأجهزة (القفل، الضياع، السرقة).
8.التحديثات والدعم
يمكن لـ Chyzora Solutions تقديم تحديثات ودعم تقني وفق الشروط المتفق عليها عند الشراء. تُثبَّت التحديثات التي يقترحها البرنامج بموافقتك، بعد نسخ احتياطي تلقائي لقاعدة البيانات، ويمكن التراجع عنها للعودة إلى الإصدار السابق. وتخضع التحديثات لهذا العقد ما لم يُنصّ على خلاف ذلك. الدعم: [email protected].
9.انعدام الضمان
يُقدَّم البرنامج «على حالته»، دون أي ضمان من أي نوع، صريحًا كان أو ضمنيًا، بما في ذلك على وجه الخصوص ضمانات القابلية للتسويق أو الملاءمة لغرض معيّن.
10.تحديد المسؤولية
في الحدود القصوى التي يسمح بها القانون، لا يمكن تحميل Chyzora Solutions المسؤولية عن أي ضرر غير مباشر أو فقدان للبيانات أو توقف للنشاط أو خسارة للأرباح ناتج عن استعمال البرنامج أو تعذّر استعماله.
11.الفسخ
ينتهي الترخيص تلقائيًا عند الإخلال بأي بند من بنود هذا العقد. وعند الفسخ، يجب عليك التوقف عن أي استعمال وإزالة تثبيت البرنامج.
12.القانون الواجب التطبيق
يخضع هذا العقد لقوانين الجمهورية الجزائرية الديمقراطية الشعبية. ويؤول كل نزاع يتعلق بتفسيره أو تنفيذه إلى اختصاص محاكم عنابة، الجزائر.

IMPORTANT — PLEASE READ CAREFULLY. By installing or using Chyzora Nexus ("the Software"), you agree to be bound by the terms of this agreement. If you do not accept these terms, do not install or use the Software.
1.Scope
This agreement covers the Chyzora Nexus application for Windows, its database, its gateway service (Nexus Gateway), the associated mobile apps (Nexus Dock) and their updates, together referred to as "the Software".
2.Licence grant
Chyzora Solutions grants you a non-exclusive, non-transferable and revocable licence to use the Software, subject to payment of the applicable fees and compliance with this agreement.
The licence may be tied to hardware: a tied activation key is valid for a single computer, identified by its unique hardware identifier. The authorised features (modules) are defined by the key issued by Chyzora Solutions or its reseller; adding modules or moving to another computer requires a new key.
3.Activation
Installing and using the Software requires a valid licence key issued by Chyzora Solutions or its reseller. No trial period is granted. A dated key stops being valid on its expiry date.
4.Restrictions
You agree not to: (a) decompile, disassemble or reverse-engineer the Software; (b) copy, rent, lend, resell or redistribute the Software or its activation keys; (c) circumvent or alter the licensing, activation or protection mechanisms; (d) use the Software in breach of applicable laws, in particular the tax and commercial regulations in force.
5.Intellectual property
The Software, its code, its interface and its documentation remain the exclusive property of Chyzora Solutions. This agreement gives you no ownership rights in the Software. Third-party components supplied with the Software (in particular the PostgreSQL database server and the DBeaver tool) remain subject to their own licences.
6.Data and privacy
The Software stores your business data (items, customers and suppliers, sales, purchases, stock, cash) on your computer or on the server of your network (PostgreSQL database). In server/client mode with offline resilience, each computer keeps a local buffer of the sales recorded during an outage, synchronised to the server when the connection returns. Your business data is never sent to Chyzora Solutions.
Updates: the Software contacts the Chyzora Solutions update server (hub.chyzora.com) to find out whether a new version exists and to download it. That server receives no business data; it only sees the technical information of any Internet connection (IP address).
Phones, stores and remote access: the mobile apps connect directly to the server of your network over an encrypted connection. Multi-store synchronisation only exchanges data between your own sites. Remote access, when you enable it, runs over an end-to-end encrypted link; any relay servers used cannot read its content.
You alone are responsible for the backup, security and compliance of your data, and for the user accounts and devices you give access to.
7.Mobile apps
The mobile apps only work with a licensed Chyzora Nexus server that includes the corresponding modules, and with a Nexus user account holding the required rights. You can disconnect a device at any time from Connectivité ▸ Appareils mobiles (Connectivity ▸ Mobile devices). The physical security of the devices (locking, loss, theft) is your responsibility.
8.Updates and support
Chyzora Solutions may provide updates and technical support under the terms agreed at purchase. Updates offered by the Software are installed with your consent, after an automatic backup of the database, and can be rolled back to the previous version. Updates are subject to this agreement unless stated otherwise. Support: [email protected].
9.No warranty
The Software is provided "as is", without warranty of any kind, express or implied, including in particular any warranty of merchantability or fitness for a particular purpose.
10.Limitation of liability
To the fullest extent permitted by law, Chyzora Solutions shall not be liable for any indirect damage, loss of data, loss of business or loss of profit arising from the use of, or inability to use, the Software.
11.Termination
The licence ends automatically if any clause of this agreement is breached. On termination, you must stop all use and uninstall the Software.
12.Governing law
This agreement is governed by the laws of the People's Democratic Republic of Algeria. Any dispute relating to its interpretation or performance falls under the jurisdiction of the courts of Annaba, Algeria.
